1. ABOUT ONIT

OnIt ("OnIt", "we", "us" or "our") operates a digital marketplace platform that allows people seeking services ("Users") to discover, contact and engage independent service providers ("Service Providers").

OnIt may provide:

  • user and Service Provider profiles;
  • search and discovery;
  • service listings;
  • messaging and communication;
  • reviews and ratings;
  • promotional features;
  • subscriptions;
  • account management;
  • verification and moderation features; and
  • other platform functionality introduced from time to time.

OnIt is a marketplace platform and does not ordinarily provide the underlying services advertised by Service Providers.

Unless expressly stated otherwise, the actual service contract is between the User and Service Provider.

The Service Provider is responsible for the service they provide, including its quality, safety, legality, pricing and performance.

OnIt is responsible for the platform services it directly supplies to you, subject to these Terms and applicable New Zealand law.

2. ACCEPTANCE OF THESE TERMS

By accessing or using OnIt, creating an account, listing a service, contacting another user, purchasing an OnIt feature or otherwise using the platform, you agree to these Terms.

If you do not agree to these Terms, you must not use OnIt.

If you use OnIt on behalf of a company, partnership, trust or other organisation, you confirm that you have authority to accept these Terms on its behalf.

These Terms should be read together with our Privacy Policy and any additional terms presented when you purchase or use a particular OnIt feature.

3. ELIGIBILITY

You must be at least 18 years old to create an account or use OnIt to arrange or provide services, unless OnIt expressly permits otherwise.

You must have legal capacity to enter into any agreement you make through OnIt. You must:

  • provide accurate information;
  • keep your information current;
  • comply with applicable laws;
  • comply with these Terms; and
  • use OnIt honestly and responsibly.

4. USER ACCOUNTS

You are responsible for maintaining the confidentiality and security of your account credentials. You must:

  • provide accurate information;
  • keep your login information secure;
  • notify us of suspected unauthorised access;
  • not share your account without permission; and
  • not create accounts for fraudulent or misleading purposes.

You are responsible for activity conducted through your account except to the extent caused by circumstances for which you are not reasonably responsible.

We may request information reasonably necessary to verify an account, prevent fraud, maintain security or comply with law.

5. ONIT'S ROLE AS A MARKETPLACE

OnIt provides technology and marketplace services.

Unless expressly stated otherwise, OnIt does not:

  • employ Service Providers;
  • act as an agent of a Service Provider;
  • supervise the performance of services;
  • determine how services are performed;
  • set prices charged by Service Providers;
  • guarantee that a Service Provider will accept a job;
  • guarantee the availability of a Service Provider;
  • guarantee the qualifications, licences or insurance of a Service Provider;
  • guarantee the quality, safety or legality of a Service;
  • guarantee the outcome of a Service;
  • guarantee that information supplied by another user is accurate; or
  • guarantee that a transaction between a User and Service Provider will be completed.

Where OnIt performs verification or moderation, that activity is limited to what OnIt actually verifies or reviews and does not constitute a general guarantee or certification of a user.

6. SERVICE PROVIDERS

Service Providers are responsible for the services they advertise and provide. Each Service Provider must:

  • accurately describe their services;
  • provide accurate pricing information where applicable;
  • hold all licences, registrations and qualifications legally required for their services;
  • maintain appropriate insurance where required or appropriate;
  • comply with applicable laws;
  • comply with health and safety requirements;
  • comply with tax obligations;
  • provide services with appropriate care and skill where applicable;
  • maintain accurate profile information; and
  • only accept work they are legally and safely able to perform.

A Service Provider must not claim to hold a qualification, licence, registration, endorsement or insurance policy that they do not hold.

OnIt may request reasonable evidence of qualifications, licences, insurance or identity where we consider it appropriate.

7. USERS

Users are responsible for deciding whether a Service Provider is suitable for their needs.

Before engaging a Service Provider, Users should consider whether to verify:

  • identity;
  • qualifications;
  • licences;
  • registrations;
  • insurance;
  • references;
  • previous work;
  • pricing; and
  • scope of work.

Users should agree the scope, price, timing and expectations of a service directly with the Service Provider before work begins.

Users must provide accurate information relevant to the requested service.

8. SERVICE CONTRACTS BETWEEN USERS AND SERVICE PROVIDERS

The agreement for the actual service is ordinarily between the User and Service Provider.

The parties are responsible for agreeing:

  • the service;
  • scope of work;
  • price;
  • timing;
  • materials;
  • expenses;
  • cancellation arrangements;
  • payment arrangements;
  • warranties offered by the Service Provider; and
  • any other service-specific terms.

OnIt does not ordinarily determine or guarantee those matters.

Where the Service Provider is a business or person in trade supplying services to a consumer, applicable New Zealand consumer law may apply directly to that service relationship, including the Consumer Guarantees Act 1993 and Fair Trading Act 1986.

Nothing in these Terms is intended to remove rights that cannot legally be excluded.

9. PAYMENTS BETWEEN USERS AND SERVICE PROVIDERS

Unless expressly stated otherwise, OnIt does not process or hold payment for services arranged between Users and Service Providers.

Service payments are arranged directly between the parties. OnIt does not act as:

  • an escrow service;
  • a bank;
  • a financial institution;
  • a payment intermediary;
  • a trustee; or
  • a guarantor of payment.

Users and Service Providers are responsible for agreeing and completing their own payment arrangements.

They are also responsible for:

  • invoices;
  • receipts;
  • taxes;
  • transaction records;
  • payment security; and
  • complying with applicable laws.

OnIt does not guarantee that a User will pay or that a Service Provider will provide a refund.

10. ONIT PLATFORM FEES

OnIt may charge fees for its own platform services, including:

  • subscriptions;
  • promotional features;
  • profile boosts;
  • advertising;
  • enhanced listings;
  • connection features;
  • a fee to unlock review functionality for a completed job; or
  • other platform services.

The applicable price will be displayed before purchase.

An OnIt fee is payment for the relevant OnIt platform service and is not payment for the underlying service provided by a Service Provider.

We will not use misleading pricing, hidden mandatory charges or misleading discounts.

Where a fee is recurring, the recurring nature, price and billing period will be disclosed before you agree to the subscription.

Nothing in this section excludes rights that cannot lawfully be excluded.

11. SUBSCRIPTIONS AND AUTOMATIC RENEWAL

Where OnIt offers subscriptions:

  • the subscription price will be disclosed before purchase;
  • the billing frequency will be disclosed;
  • automatic renewal will be clearly disclosed before you subscribe;
  • you will be told how to cancel;
  • cancellation will generally prevent future renewal; and
  • any applicable cancellation or refund consequences will be disclosed before purchase.

We will not continue charging you after a valid cancellation takes effect.

Where pricing changes for a recurring subscription, we will provide reasonable notice before the new price applies where required by law.

Nothing in this section limits any statutory rights you may have.

12. PROMOTIONAL FEATURES

Paid promotional features may include profile boosts, featured listings or enhanced visibility.

Payment for a promotional feature does not guarantee:

  • views;
  • enquiries;
  • jobs;
  • bookings;
  • income;
  • revenue;
  • customers; or
  • any particular commercial result.

Any material limits or duration of a promotional feature will be disclosed before purchase.

13. REVIEWS AND RATINGS

Reviews and ratings must be genuine and based on an actual interaction or experience.

You must not:

  • create fake reviews;
  • review yourself;
  • submit reviews on behalf of another person without authority;
  • buy or sell misleading reviews;
  • manipulate ratings;
  • threaten another person with a review;
  • use reviews to harass or abuse another person;
  • publish unnecessary private information; or
  • make knowingly false or misleading statements.

Where a review is submitted for a completed job, OnIt may require a fee to be paid by the Service Provider before the review becomes visible on their profile. This fee relates to the platform service of enabling and displaying the review functionality and is not payment for the content of the review itself. The fee does not influence whether a review is published, moderated or removed, and OnIt does not guarantee that a paid review will remain visible if it breaches these Terms or applicable law.

OnIt may moderate, remove or restrict reviews that breach these Terms or applicable law.

We may retain information about removed reviews where reasonably necessary for legal, security, fraud-prevention or platform-integrity purposes.

14. USER CONTENT

Users may upload:

  • photographs;
  • profile information;
  • service descriptions;
  • reviews;
  • listings;
  • business information;
  • logos;
  • messages; and
  • other content.

You retain ownership of content you own.

By submitting content to OnIt, you grant OnIt a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and adapt that content as reasonably necessary to operate, provide, maintain, improve and promote OnIt.

You confirm that you have the rights necessary to provide the content. You must not upload content that:

  • is unlawful;
  • infringes another person's rights;
  • contains malicious software;
  • is misleading;
  • unlawfully discloses personal information;
  • is threatening or abusive; or
  • breaches these Terms.

15. MESSAGES

OnIt may provide messaging functionality between Users and Service Providers. Messages may be stored and processed to:

  • provide the messaging service;
  • maintain security;
  • investigate reports;
  • prevent fraud;
  • enforce these Terms;
  • comply with law; and
  • protect users and OnIt.

Users should not send unnecessary sensitive personal information through OnIt.

16. SAFETY

Users must take reasonable precautions when dealing with other users. Depending on the circumstances, this may include:

  • verifying identity;
  • checking qualifications;
  • checking insurance;
  • meeting safely;
  • confirming pricing;
  • confirming the scope of work;
  • informing someone about an appointment; and
  • avoiding unnecessary disclosure of sensitive information.

Service Providers must only perform work they can safely and lawfully perform. Users must not request unlawful or unsafe services.

OnIt does not guarantee the identity, character, qualifications, insurance, safety or conduct of another user.

17. VERIFICATION AND MODERATION

OnIt may conduct verification or moderation activities. These may include reviewing:

  • identity information;
  • qualifications;
  • licences;
  • registrations;
  • insurance;
  • profiles;
  • listings;
  • reviews; or
  • reports.

Verification is limited to the particular information or process verified.

A verification process does not constitute a guarantee that a person is trustworthy, safe, qualified, insured or suitable.

18. PROHIBITED CONDUCT

You must not use OnIt to:

  • commit fraud;
  • scam or deceive;
  • impersonate another person;
  • provide materially false information;
  • harass or threaten;
  • unlawfully discriminate;
  • upload malware;
  • interfere with the platform;
  • gain unauthorised access;
  • manipulate reviews;
  • create fake accounts;
  • infringe intellectual property;
  • misuse personal information;
  • facilitate unlawful activity;
  • advertise services you are not entitled to provide; or
  • circumvent reasonable security or platform restrictions.

19. INTELLECTUAL PROPERTY

OnIt and its licensors own the intellectual property associated with the platform.

You must not copy, modify, reproduce, distribute, reverse engineer or commercially exploit OnIt's intellectual property except as permitted by law or with our permission.

Nothing in these Terms transfers ownership of OnIt's intellectual property to you.

20. AVAILABILITY OF ONIT

We aim to keep OnIt available and functioning, but we do not guarantee uninterrupted availability.

The platform may be unavailable because of:

  • maintenance;
  • technical failures;
  • telecommunications problems;
  • third-party services;
  • security incidents;
  • natural disasters; or
  • circumstances outside our reasonable control.

Where we fail to provide a platform service that you have paid for, your rights and remedies will be determined by applicable law and the circumstances.

21. THIRD-PARTY SERVICES

OnIt may use third-party providers for hosting, communications, analytics, payment processing for OnIt fees, security and other functions.

Third-party services may have their own terms and privacy policies.

We are not responsible for matters solely caused by an independent third party to the extent permitted by law.

22. PRIVACY

Your use of OnIt is also governed by our Privacy Policy.

The Privacy Policy explains how we collect, use, store and disclose personal information.

OnIt will handle personal information in accordance with applicable New Zealand privacy law.

23. MARKETING AND ELECTRONIC COMMUNICATIONS

Where required, OnIt will obtain consent before sending commercial electronic messages.

Commercial electronic messages may include email, SMS, instant messages and similar electronic communications.

Where applicable, marketing communications will:

  • identify OnIt as the sender;
  • contain a clear and functional unsubscribe facility;
  • provide information required by law; and
  • be sent only where permitted under applicable law.

You may withdraw marketing consent at any time.

Essential communications relating to your account, security, purchases, subscriptions, legal notices or operation of OnIt may still be sent where permitted or required.

24. CONSUMER RIGHTS AND FAIR TRADING

Nothing in these Terms excludes, restricts or modifies any right, guarantee, remedy or liability that cannot legally be excluded, restricted or modified.

OnIt will comply with applicable requirements of the Consumer Guarantees Act 1993 and Fair Trading Act 1986 in relation to services supplied by OnIt.

OnIt will not use these Terms to mislead consumers about their legal rights.

We will not make false, misleading or unsubstantiated claims about OnIt, our services or the services of others.

25. LIMITATION OF LIABILITY

OnIt's liability is limited only to the extent permitted by applicable law.

To the fullest extent permitted by law, OnIt is not responsible for loss arising solely from:

  • the acts or omissions of Users or Service Providers;
  • the underlying service provided by a Service Provider;
  • disputes between Users and Service Providers;
  • non-payment between Users and Service Providers;
  • inaccurate information supplied by another user;
  • injury or property damage caused by another user;
  • transactions conducted directly between users; or
  • circumstances outside OnIt's reasonable control.

To the extent permitted by law, OnIt is not liable for indirect or consequential loss.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability arising from OnIt's own conduct where the law prevents such limitation.

26. INDEMNITY

To the fullest extent permitted by law, you agree to compensate OnIt for reasonable losses, liabilities and costs arising from:

  • your breach of these Terms;
  • your unlawful conduct;
  • your User Content;
  • your infringement of another person's rights;
  • services you provide through OnIt;
  • your failure to comply with applicable laws; or
  • your misuse of the platform.

This does not apply to the extent the loss was caused by OnIt's own negligence, wilful misconduct or another matter for which liability cannot lawfully be transferred to you.

27. SUSPENSION AND TERMINATION

We may suspend or terminate access where reasonably necessary because of:

  • breach of these Terms;
  • fraud;
  • serious misconduct;
  • safety concerns;
  • unlawful conduct;
  • material false information;
  • platform abuse;
  • security risks; or
  • legal requirements.

Where appropriate, we will provide notice and an opportunity to address the issue.

Immediate suspension may occur where reasonably necessary to protect users, OnIt or the platform.

You may stop using OnIt at any time.

Termination does not affect rights or obligations that arose before termination.

28. COMPLAINTS

If you have a complaint about OnIt, contact:

Email: james@getonit-app.com

We will consider complaints in good faith and take reasonable steps to resolve legitimate issues.

Nothing in this section limits your statutory rights.

Disputes about an underlying service are ordinarily between the User and Service Provider.

29. CHANGES TO ONIT

We may change or discontinue features where reasonably necessary to operate and develop the platform.

Where a change materially affects a paid service already purchased, we will take reasonable steps to address the situation in accordance with applicable law and the terms applying to that purchase.

30. CHANGES TO THESE TERMS

We may update these Terms.

For material changes, we will take reasonable steps to notify users before the changes take effect.

The updated Terms will show the new effective date.

Where a change materially affects a paid service or an existing contractual right, we will not rely on the change in a way that unfairly deprives you of rights you have already acquired.

If you do not agree to updated Terms, you may stop using OnIt, subject to any existing obligations.

31. BUSINESS-TO-BUSINESS TRANSACTIONS

Where you acquire OnIt services in trade for business purposes and applicable New Zealand law permits contracting out of a statutory provision, the parties may agree in writing to contract out of that provision.

Any contracting out will only apply where the statutory requirements are satisfied.

Nothing in this section applies to remove consumer protections where the law does not permit those protections to be excluded.

32. DISPUTE RESOLUTION

If you have a dispute with OnIt, please contact us first. We will attempt to resolve the matter reasonably.

Nothing in these Terms prevents you from exercising any right to bring a claim before a court, tribunal or other lawful authority.

33. GOVERNING LAW

These Terms are governed by the laws of New Zealand.

Subject to mandatory rights available under applicable law, New Zealand courts and tribunals have jurisdiction over disputes concerning these Terms.

34. SEVERABILITY

If any provision is found invalid or unenforceable, it will be modified or removed only to the extent necessary.

The remaining provisions continue to apply.

35. NO WAIVER

A failure by OnIt to enforce a provision immediately does not prevent us from enforcing it later.

36. ASSIGNMENT

You may not transfer your rights or obligations under these Terms without our consent.

OnIt may transfer its rights or obligations as part of a legitimate business restructuring, merger, acquisition or sale, subject to applicable law.
